Partner Program Terms

1. Introduction and Acceptance
These Partner Program Terms ("Partner Terms") govern participation in the CELPIP Simulator Partner Program (the "Program") operated by TR2PR, a registered Ontario business operating as CELPIP Simulator ("we," "us," or "our"), based in Thornhill, Ontario, Canada.
By submitting a partner application through our Partners page, you ("you," the "Partner," or the "applicant") agree to be bound by these Partner Terms, in addition to our general Terms of Service and Privacy Policy, which are incorporated by reference. If you do not agree to these Partner Terms, do not submit an application.
2. Nature of the Program — Mutual, Non-Financial Cross-Referral
2.1 Mutual Cross-Referral Arrangement
The CELPIP Simulator Partner Program is a mutual cross-referral arrangement. Partners recommend CELPIP Simulator to their clients where appropriate. CELPIP Simulator lists partners on its platform as independent immigration professionals whom users may choose to contact.
2.2 No Financial Compensation
NO financial compensation of any kind is offered, paid, or accepted through the Program. This includes, without limitation: referral fees, commissions, revenue sharing, listing fees, placement fees, gifts, discounts exchanged for referrals, or any other direct or indirect consideration. Neither party owes the other any payment, and no payment obligation can arise from participation in the Program.
2.3 Separation from the Referral Program
The Program is entirely separate from the CELPIP Simulator Referral Program. Participation in the Partner Program does not enroll you in the Referral Program, and participation in the Referral Program does not make you a Partner. Regulated professionals are responsible for determining which program, if any, is compatible with their professional obligations (see Section 6).
2.4 No Other Relationship
The Program does not create any employment, agency, joint venture, franchise, fiduciary, or exclusive relationship between you and CELPIP Simulator. Neither party may make commitments on behalf of the other.
3. Eligibility and Professional Credentials
3.1 Who May Apply
The Program is intended for immigration professionals and organizations that serve newcomers to Canada, including:
- Regulated Canadian Immigration Consultants (RCICs)
- Immigration lawyers and law firms
- Language schools and test preparation instructors
- Colleges, universities, and other educational institutions
- Settlement agencies and newcomer service organizations
3.2 Valid Credentials Required
Where your profession is regulated, you must hold valid professional credentials — for example, an active RCIC license in good standing with the College of Immigration and Citizenship Consultants (CICC), or membership in good standing with a Canadian law society. You represent and warrant that all credentials and information you provide in your application are accurate, current, and complete, and you agree to notify us promptly if your credential status changes (including suspension, revocation, or expiry).
3.3 Accuracy of Information
Providing false or misleading information in a partner application is grounds for immediate rejection or removal from the Program.
4. Application, Review, and Approval
4.1 Application Process
Applications are submitted through the form on our Partners page. Submitting an application does not guarantee a listing. All applications are reviewed manually, and we aim to respond within 7 days of submission.
4.2 Sole Discretion
CELPIP Simulator reserves the right to approve, decline, or remove any partner listing at any time, at its sole discretion, with or without providing a reason. We may decline or remove listings that we believe could harm our users, our reputation, or the integrity of the Program.
4.3 No Application Fee
There is no fee to apply to or participate in the Program (see Section 2.2).
5. Partner Listings and Public Display
5.1 What Is Displayed
Approved partners are listed publicly on our Partners page. A listing may include your name, professional title, company or organization name, description, website link, and profile photo. Your email address and phone number are never displayed publicly.
5.2 Display Order
CELPIP Simulator determines partner display order at its sole discretion. Display order is not for sale and cannot be influenced by any form of compensation.
5.3 License to Display
By submitting an application, you grant CELPIP Simulator a non-exclusive, royalty-free, revocable license to display the name, title, company, description, website link, and photo you provide, on our website, in our applications, and in related Program materials (for example, a link to the Partners page in our emails to users). This license ends when your listing is removed, except for cached or archived copies outside our reasonable control.
5.4 Updating Your Listing
You may update your listing information at any time by re-submitting the application form while signed in, or by contacting us at support@celpipsimulator.com.
6. Professional Compliance
6.1 Your Responsibility
You are solely responsible for ensuring that your participation in the Program complies with all laws, regulations, professional codes of conduct, and rules of any regulatory body that governs your profession — including, for RCICs, the College of Immigration and Citizenship Consultants (CICC) Code of Professional Conduct, and, for lawyers, the rules of the applicable law society.
6.2 Designed for Compatibility
The Program is intentionally structured as a non-financial arrangement: because no referral fees, commissions, or other compensation exist within the Program, there is nothing to disclose or receive as payment for referrals. However, we do not provide legal or professional advice, and it remains your responsibility to confirm that participation is appropriate for your specific circumstances.
6.3 Client Interests First
Partners should only recommend CELPIP Simulator where they genuinely believe it serves their client's interests. Nothing in the Program requires you to recommend our services to any particular client.
7. Independence and No Endorsement
7.1 Independent Professionals
Partners are listed as independent professionals and organizations. CELPIP Simulator does not supervise, direct, or control partner services in any way.
7.2 No Endorsement or Guarantee
A listing on our Partners page is informational only. CELPIP Simulator does not endorse, guarantee, warrant, or assume any responsibility for the quality, accuracy, legality, or outcome of any services provided by a partner. Users who engage a partner do so entirely at their own discretion and risk, under a direct relationship between the user and the partner to which we are not a party.
7.3 No Endorsement of Us
Likewise, a partner's recommendation of CELPIP Simulator does not constitute a professional opinion or guarantee about our services. Partners must not represent that they are employees, agents, or official representatives of CELPIP Simulator, and must not suggest that CELPIP Simulator is affiliated with any official CELPIP test administration organization (see Section 2 of our Terms of Service).
8. Partner Obligations
As a Partner, you agree to:
- Maintain accurate and current listing information and credentials
- Describe CELPIP Simulator truthfully when recommending it — in particular, as an independent, unofficial practice platform (never as the official CELPIP test or an official partner of the test administrator)
- Comply with all applicable laws, including Canada's Anti-Spam Legislation (CASL) in any communications that mention CELPIP Simulator
- Refrain from making guarantees on our behalf (for example, score improvements or immigration outcomes)
- Refrain from offering or requesting any payment, gift, or benefit in connection with the Program
Violation of these obligations is grounds for removal from the Program.
9. Term and Termination
9.1 Termination by Either Party
Either party may end the partnership at any time, for any reason, by providing written notice (email to support@celpipsimulator.com is sufficient). No notice period, penalty, or justification is required.
9.2 Removal of Listings
CELPIP Simulator will remove partner listings within 7 business days of receiving a removal request. We may also remove or suspend a listing at any time under Section 4.2.
9.3 Effect of Termination
Upon termination, your listing is removed and the display license in Section 5.3 ends. Sections 6, 7, 10, and 11 survive termination.
10. Privacy and Personal Information
Information you submit in a partner application is handled in accordance with our Privacy Policy. By applying, you consent to the public display of the listing information described in Section 5.1 if your application is approved. Contact details (email, phone) are used only to administer the Program and are never displayed publicly or sold.
We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable Canadian privacy laws.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CELPIP SIMULATOR SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM: (a) SERVICES PROVIDED BY ANY PARTNER TO ANY USER OR CLIENT; (b) A PARTNER'S VIOLATION OF THEIR PROFESSIONAL OBLIGATIONS, CODES OF CONDUCT, OR APPLICABLE LAW; (c) THE APPROVAL, DECLINE, REMOVAL, ORDERING, OR CONTENT OF ANY LISTING; OR (d) ANY REFERRAL OR RECOMMENDATION MADE UNDER THE PROGRAM.
The limitations of liability, disclaimers, and indemnification provisions of our general Terms of Service (Sections 11 and 12) apply equally to the Program.
12. Modifications to These Terms
We may modify these Partner Terms or modify, suspend, or discontinue the Program at any time. Material changes will be posted on this page with an updated "Last Updated" date. Your continued participation in the Program after changes take effect constitutes acceptance of the updated Partner Terms. If you do not agree, you may end your participation under Section 9.
13. Governing Law
These Partner Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in accordance with Section 17 of our general Terms of Service (informal resolution first, then the courts of Toronto, Ontario, Canada).

BY SUBMITTING A PARTNER APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE PARTNER PROGRAM TERMS, AND THAT THE PROGRAM INVOLVES NO FINANCIAL COMPENSATION OF ANY KIND.
